§1 Scope & provider

These Terms and Conditions (“Terms”) govern the contractual relationship between Centric Software International Ltd. (“provider”, “we”) and the users (“user”, “you”) of the service FlixCard, available at flixcard.io and as an app for iOS.

By using the service you accept these Terms. If the app is obtained through a distribution platform (e.g. the Apple App Store), that platform's terms apply in addition; with regard to obtaining the app you are a direct contractual partner of the platform.

Deviating, conflicting or supplementary terms of the user do not become part of the contract unless the provider expressly agrees to them in writing.

§2 Description of service

FlixCard is a tool for creating digital business cards. A user creates one or more cards ("profiles") and furnishes them with name, contact details, address, and optional web, social and payment information. A card is shared by holding the user's device against another device (NFC) or having a code scanned (QR); the recipient can view the card and save it as a contact without needing an account or the app themselves. Registered users can additionally "follow" a card and thereby maintain an ordered list of their contacts.

The scope of features differs by tier (§4): in the Free tier, one card can be created, shown with an advertising banner. From the Premium tier upward, up to five cards can be created, web and social details (website, LinkedIn, GitHub, X, Instagram, Facebook, Skype, ICQ) can be added, and advertising is removed. The Premium Plus tier raises the card limit to unlimited and additionally unlocks payment and crypto details (Bitcoin address, Ethereum address, PayPal.me). The Enterprise tier is intended for team and multi-person management and is currently in preparation.

The Provider continuously develops the service further. There is no entitlement to the permanent availability of individual features, feature scopes or design elements; §9 remains unaffected.

§3 Account & conclusion of contract

Viewing someone else's card and saving it to your own address book via the contact-details download does not require an account. Creating your own cards, following other cards, and purchasing Premium, Premium Plus or Enterprise require an account. An account is created by entering an e-mail address and a password (at least 8 characters). After registering, the user receives a confirmation e-mail; the contract is concluded when the link it contains has been successfully confirmed.

The account applies exclusively to FlixCard. Other applications of the provider keep separate accounts with their own login details, even if the same e-mail address is used. Signing in to FlixCard does not grant access to any other service of the provider and vice versa; a plan purchased in another app does not apply here.

The user must provide truthful information when registering and keep their login details secret; an account is not transferable. Use is open to consumers and businesses alike. Registration requires the user to be at least 16 years old or to have the consent of a parent or guardian.

§4 Plans, prices & payment

FlixCard is offered in four tiers.

  • Free: permanently free of charge. One card, sharing via NFC or QR code, name/contact/address, with an advertising banner.
  • Premium: €4.99 as a one-time purchase, no automatic renewal. Up to five cards, web & social details, no advertising.
  • Premium Plus: €9.99 per month as a subscription with a monthly term and automatic renewal. Includes the full scope of Premium, unlimited cards, and the payment & crypto block.
  • Enterprise: €19.99 per month as a subscription, intended for team cards and extended management. This tier is currently in preparation and will be announced separately once available.

All prices are final prices including the applicable statutory VAT; the prices shown before purchase in the app and in the App Store are authoritative. There is no set-up fee.

Premium is a one-time purchase and not a subscription. Premium Plus and, once available, Enterprise are subscriptions with a monthly term (§5).

Processing of payment

Purchases and subscriptions in the app are processed through the Apple App Store; Apple's terms apply additionally in this respect, and Apple is the contracting party for payment processing. The user enters payment details with Apple; the provider does not receive them. A subscription renews automatically for the chosen period unless cancelled in the App Store account settings at least 24 hours before expiry.

A purchased scope is bound to the App Store account. After a device change, "Restore Purchases" restores it.

§5 Term, termination & withdrawal

Free use runs for an indefinite period. The user can end the contract at any time by deleting their account in the app (§11).

One-time purchases have no term and therefore cannot be cancelled; they remain permanently tied to the purchasing App Store account. A subscription has a term of one month and renews automatically unless cancelled at least 24 hours before expiry. Cancellation is made via the subscription management of the App Store account and takes effect at the end of the current period; the provider itself cannot cancel a subscription. When the subscription ends, the previously purchased or the free tier applies again.

When a subscription ends, cards created beyond the limit of the tier that then applies are retained (§4); new ones can only be added once the count falls back below the limit.

Right of withdrawal for digital content

Consumers have a statutory right of withdrawal. This right expires early where the user has expressly agreed to immediate performance of the contract before the withdrawal period elapses and has confirmed that they thereby lose their right of withdrawal, for example through immediate unlocking or crediting after purchase. For App Store purchases, exercising the right of withdrawal follows Apple's terms. Refunds are governed exclusively by Apple's terms.

§6 Obligations of the user

The user undertakes

  • to use the service only within applicable law and not to enter or send any unlawful, offensive or third-party-rights-infringing content,
  • to keep credentials confidential and not to grant third parties access to the account,
  • to enter on their cards only information that does not infringe the rights of third parties and is not unlawful, offensive or misleading; particularly with regard to names, contact details and payment information,
  • not to scan third-party cards automatically in large numbers,
  • not to take any measures that may impair the operation of the service or its server infrastructure (for example automated bulk requests or reverse engineering beyond what is legally permitted).

In the event of breaches, the provider may restrict access or, after prior warning, suspend the account.

§7 Data, content & storage

The user remains the owner of the content they create (the content of their cards).

Cards and the list of who the user follows and who follows the user are stored exclusively on the Provider's server; there is no additional copy on the device. Whenever the user opens their cards, they are freshly loaded from the server each time.

Public retrieval of a card (via NFC tap, QR code or link) takes place without the retrieving party needing to log in; only the information that the card owner themselves has entered on the card is transmitted.

Details on the processing of personal data are set out in the privacy policy.

§8 Rights of use & intellectual property

All rights in the service itself, in particular software, design, logos and the FlixCard brand, belong to the provider or its licensors. The user is granted a simple, non-transferable and non-sublicensable right to use the service within the scope of these Terms.

The provider acquires no rights in content entered by the user beyond what is technically necessary to operate, display, back up and deliver the service.

Reverse engineering, removing notices of rights and distributing modified versions are prohibited unless permitted by law.

§9 Availability & changes

The provider endeavours to ensure high availability of the service but cannot guarantee uninterrupted availability. Maintenance work, technical faults or events beyond the provider's control (force majeure, failures of third parties such as hosting or payment providers) may lead to temporary restrictions. No availability commitment in the form of a service level agreement exists.

The provider reserves the right to adapt or extend the range of features in the course of further development, or to discontinue individual features, provided this is reasonable considering the legitimate interests of the user. Substantial restrictions affecting the core of a paid service will, as far as possible, be announced to paying users with reasonable notice. In particular, the introduction of the Enterprise tier remains subject to the further development of the service.

§10 Liability

The provider is liable without limitation for intent and gross negligence, under product liability law, for injury to life, body or health, and within the scope of guarantees given.

In the event of slightly negligent breach of a material contractual obligation (cardinal obligation) whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the user may regularly rely, liability is limited in amount to the foreseeable damage typical for this type of contract. Otherwise liability for slightly negligent breaches of duty is excluded.

The above limitations of liability also apply in favour of the provider's legal representatives and vicarious agents where claims are asserted directly against them.

For loss of data the provider is liable only to the extent that would have arisen had the user carried out proper and regular data backups.

Sole responsibility for the accuracy of the information entered on a card (in particular contact and payment details) lies with the respective card owner; the Provider does not review this information for content (see Liability Notice).

§11 Suspension & account deletion

The user can irrevocably delete their account in the app at any time. The account is then deactivated and the associated data on the server is removed. This action cannot be undone; a backup of important content should be created beforehand.

Deletion affects the account for FlixCard only. The user's accounts with other applications of the provider remain unaffected and must be deleted there separately.

The provider is entitled to suspend or terminate an account in the event of a serious or repeated breach of these Terms after prior warning with a reasonable deadline. Refunds are governed exclusively by Apple's terms.

§12 Changes to these terms

The provider reserves the right to amend these Terms with effect for the future where this is necessary for legal reasons, because of changes to the service, or to adapt to changed technical or economic conditions, and where this does not unreasonably disadvantage the user. Users will be informed of substantial changes in the application or by e-mail with reasonable notice.

If the user does not object to the amended Terms within six weeks of receiving the notice of change, or continues to use the service after that period, the amended Terms are deemed accepted. The provider will separately point out this consequence and the right to object in the notice of change.

§13 Final provisions

English law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If the user is a consumer, this applies only to the extent that it does not restrict the protection of mandatory consumer protection provisions of their habitual residence.

If the user is a merchant, a legal entity under public law or a special fund under public law, the registered office of the provider in London, England is (as far as legally permissible) the exclusive place of jurisdiction for all disputes arising out of or in connection with this contract.

Should any provision of these Terms be or become invalid, the validity of the remaining provisions remains unaffected. The statutory rule takes the place of the invalid provision.

The European Commission provides a platform for online dispute resolution at ec.europa.eu/consumers/odr. The provider is neither obliged nor willing to take part in dispute resolution proceedings before a consumer arbitration board.
